When a client submits text or any work for translation to Wave Translations, the client will enter into a binding agreement covered by the terms and conditions listed below:
General/Definitions
Company: Refers to Wave Translations. Work: Translation or other work or services provided by the company. Client: Refers to the corporate entity or individual receiving work from Wave Translations.
If a conflict arises, the following documents will take priority in the stated order:
Signed service agreement entered into by the parties.
Quotations.
Quotations
Verbal quotations are for guidance only and are non-binding until written confirmation is provided.
Written quotations are valid for 30 days unless otherwise specified.
Additional charges may apply if changes are made to the text after translation has begun, subject to mutual agreement.
Terminology:
Integral proofreading: Proofing by the same translator working on the project.
Advanced proofreading: Proofing by an independent professional.
The contract is initiated upon receipt of a purchase order or project confirmation from the client.
Payment and Price
Prices are in USD and exclude taxes unless stated otherwise. Any additional expenses or taxes will be invoiced to the client.
Payments are due within 21 days of the invoice date unless otherwise agreed in writing. Late payments incur an 8% annual service charge.
Wave Translations may invoice for stages of work completed over a 60-day period or on a monthly basis for extended projects.
Failure to pay on time allows Wave Translations to cease work without prejudice to other rights.
Completion of Work
Deadlines are estimates. Wave Translations is not liable for delays due to circumstances beyond their control.
Clients must specify deadlines when providing work. Late delivery does not warrant withholding payment.
Work is typically delivered electronically. Hard copy requests are subject to postal delays.
Expedited work may incur additional urgency charges.
Wave Translations reserves the right to subcontract work.
Clients must meticulously review official translation forms (e.g., notarized) and notify Wave Translations of required changes before release.
Interpreting
Interpreters will wait 30 minutes if the client is absent. Full fees apply for no-shows.
If an interpreter is late but completes the task, full fees apply.
Wave Translations strives to provide substitute interpreters if needed but is not liable for failures in doing so.
Suspension and Cancellation
Canceled projects are subject to charges for completed work, incurred expenses, and preparatory work.
Postponed projects are subject to charges up to the suspension date and additional costs.
Force Majeure events may result in withdrawal from the commission, with payment required for completed work.
Delivery
Wave Translations is not liable for delays or failures caused by subcontractors, acts of nature, or other uncontrollable events.
Delivery is deemed complete upon electronic transmission, faxing, or posting to a carrier.
Wave Translations retains a copy of the translation for re-sending if required.
Liability and Responsibility
Complaints must be submitted in writing within five days of receipt. Wave Translations will rectify justified issues without extra charges.
Wave Translations is not liable for indirect damages, including loss of revenue or profit.
Clients must accept that translations may differ slightly from the original and that Wave Translations does not warrant specific outcomes.
